Auto-Debit Authorization Agreement

(Hereinafter referred to as "this Agreement")

This Agreement is entered into by and between:

Party A (Merchant / Service Provider): MOUNTAIN PEAK TECHNOLOGY LTD

Party B (User / Customer): ________

By enabling the auto-debit feature while using Party A's SaaS services, Party B agrees to all terms under this Agreement.

1. Description of Auto-Debit Service

The auto-debit service allows Party B to authorize Party A and the partnered payment platform to automatically deduct applicable service fees or related payments from Party B's designated account.

The auto-debit process is executed via payment institutions integrated by Party A (e.g., WeChat Pay, Alipay, Stripe, etc.).

Auto-debit is used solely for the fees legitimately incurred by Party B for using Party A's services.

2. Authorization Scope

Party B voluntarily authorizes Party A and the payment institution to automatically deduct payments from the designated account upon billing.

The authorization remains valid until Party B disables the auto-debit function or revokes authorization.

Party B guarantees the validity of the designated payment account and ensures sufficient balance.

Party B acknowledges that any failure due to insufficient funds, account issues, or other reasons shall be borne by Party B.

3. Fees and Billing

Party B shall pay service fees according to the pricing published by Party A.

Party A will display billing details through the system, email notifications, or other means.

If the fees are adjusted, Party A will notify Party B in advance. Continued use shall constitute acceptance of the updated pricing.

4. Disputed Deductions and Account Takeover Incidents

If Party B disputes any deduction due to suspected unauthorized use or Account Takeover involving Party B's merchant account, Party B shall submit a written claim to Party A within 90 days after the deduction, together with supporting evidence reasonably required by Party A (including but not limited to account activity records, identity verification documents, and security logs).

Upon receiving the claim, Party A will conduct an internal review and may request additional information if necessary. If Party A, after verification, confirms that the deduction resulted from an unauthorized transaction or Account Takeover not attributable to Party B's fault, Party A will process a refund of the disputed amount to Party B within 3 business days following the completion of verification.

Party A reserves the right to reject claims where (1) Party B fails to provide sufficient evidence, (2) Party B's own negligence caused the compromise of credentials or access, or (3) the disputed transaction is confirmed to be valid and authorized.

5. Rights and Obligations of Party A

Party A shall deduct fees in accordance with this Agreement and the announced billing rules and shall not charge unauthorized payments.

Party A shall take reasonable measures to protect Party B's personal and payment information.

In case of duplicate or erroneous deductions, Party A shall assist Party B in correction and refund.

6. Risk Disclosure

The auto-debit service may fail due to payment institution issues, network interruptions, insufficient account balance, or other reasons. Party A shall not be held responsible for such failures.

Party B shall bear consequences such as service suspension or limited access caused by unpaid fees.

7. Privacy and Data Protection

Party A will handle Party B's information in accordance with its Privacy Policy.

Party B agrees that Party A may submit necessary account and transaction information to payment institutions for processing.

8. Amendments and Termination

Party A may update this Agreement as needed and will notify Party B via system notifications or other methods.

Party B's continued use of the services or maintenance of auto-debit activation constitutes acceptance of the revised Agreement.

Either party may terminate this Agreement for lawful reasons without affecting prior payment obligations.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the location of Party A. Any disputes arising from this Agreement shall first be resolved through friendly negotiation; if negotiation fails, the dispute shall be submitted to the competent court in Party A's location.

10. Miscellaneous

This Agreement becomes effective once Party B clicks "Confirm" or successfully enables the auto-debit service.

Electronic versions of this Agreement have the same legal effect as paper versions.
